Terms & Conditions
1. Definitions
– “AIHKICT” refers to AI HKICT Limited.
– “Service(s)” refers to any service, production, software, or related offering provided by AIHKICT.
– “Customer” means the individual, firm, company, or organization engaging AIHKICT for services.
2. Quote Confirmation
– Acceptance of a quotation may be confirmed by verbal confirmation, written communication (email or message), company chop, signature, or payment. Any of these actions constitute acceptance of the quotation and agreement to these Terms and Conditions.
3. Submission of Requirements
– All project requirements must be submitted through designated online channels (e.g., email, online form, project system). Failure to do so may result in additional support charges.
4. Payment Terms
– All monthly, quarterly, or annual fees are prepaid, non-refundable, and must be settled on or before the due date.
5. Service Suspension for Non-Payment
– Services will be suspended if payment is not received by the specified due date.
6. Reconnection Fees
– A reconnection fee of HK$1,000, plus any applicable third-party charges, will apply for reactivating suspended services.
7. Extended Disconnection and Termination
– If services remain suspended for more than 7 days, reconnection will not be possible. The account will be terminated, all files permanently deleted, and all outstanding amounts must be paid within 7 days.
8. Termination Notice:
– Termination of services requires written notice with at least one (1) month’s advance notice.
– All outstanding payments must be settled within 7 days from the notice date.
– Customers may request a data export prior to termination; an additional service fee will apply for the export and delivery of data.
9. Ownership of Code and Data
– AIHKICT retains ownership of all source code, APIs, databases, and core system functionality. Customers are not permitted to modify, distribute, or resell these assets.
– Customer-generated data stored in the system remains the sole property of the customer.
10. Limitation of Liability
– AIHKICT shall not be liable for any direct, indirect, incidental, or consequential loss, including but not limited to loss of profit, data, operations, or business reputation arising from the use of, or inability to use, the services.
11. Customer Responsibilities
– The customer is responsible for any losses or damages arising from their own negligence, misuse, or failure to follow instructions and shall reimburse AIHKICT for all resulting expenses or claims.
12. Support & Maintenance
– AIHKICT will provide support and maintenance services as specified in the quotation or separate agreement.
– Support covers issue resolution, system bugs, and questions related to delivered features during the development period.
– After the system or service goes live, all ongoing support, maintenance, minor updates, security patches, system optimizations, and other additional services will incur separate charges, unless specifically included in the original quotation.
– Requests outside of the support scope may be subject to additional charges.
13. Use of AIHKICT Applications or Services
A. Ownership and Copyright
– All applications, designs, layouts, text, graphics, and content remain the property of AIHKICT. Unauthorized reproduction or reuse is prohibited.
B. Accuracy of Information
– While AIHKICT strives for accuracy, no warranties (express or implied) are made regarding the reliability or completeness of information provided via its services.
C. Additional Limitation of Liability
– AIHKICT is not responsible for any damages resulting from reliance on content provided via its services or applications.
D. Editing and Deletion Authority
– AIHKICT reserves the right to edit, suspend, or delete content from its platforms at its sole discretion without prior notice.
E. Third-Party Services or Resources
– AIHKICT may use third-party services or integrations. It assumes no responsibility for their availability, reliability, or any resulting damages or losses.
F. Disclaimer for Third-Party Loss
– AIHKICT disclaims any liability for damage or loss caused by or in connection with third-party platforms accessible through its services.
G. Acceptance of Terms
– Use of any AIHKICT service or application constitutes unconditional acceptance of these terms. AIHKICT may update the terms without prior notice.
H. Request for Latest Version
– Users should contact AIHKICT to obtain the most current version of these Terms and the Disclaimer.
14. Confidentiality
– Both AIHKICT and the Customer agree to keep confidential all non-public information exchanged during the course of the project or service engagement. This includes, but is not limited to, technical data, source code, customer data, business processes, and pricing details.
– Confidential information may only be disclosed to employees, contractors, or agents on a need-to-know basis and must be protected with reasonable measures.
– This obligation remains in effect during the term of the agreement and for two (2) years after its termination, unless disclosure is required by law or regulatory authority.
15. Jurisdiction
– These Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the Hong Kong courts.

1. 定義
–「AIHKICT」指 AI HKICT Limited。
–「服務」指由 AIHKICT 所提供的任何服務、製作、軟體或相關項目。
–「客戶」指聘用 AIHKICT 提供服務的個人、商號、公司或機構。
2. 報價確認
– 接受報價可透過口頭確認、書面通訊(如電郵或訊息)、公司印章、簽署或付款方式完成。上述任何一種方式均構成對報價的接受,並同意本條款與細則。
3. 提交項目需求
– 所有項目需求須透過指定的線上渠道提交(例如電郵、線上表單或項目系統)。如未按此提交,AIHKICT 有權收取額外支援費用。
4. 付款條款
– 所有月費、季費或年費須預先繳付,並於到期日前結清,已繳費用恕不退還。
5. 欠款暫停服務
– 如未能於指定到期日前完成付款,有關服務將會被暫停。
6. 重新啟用服務費用
– 重新啟用已暫停服務需支付港幣 1,000 元之恢復費,並加上任何第三方可能收取的額外費用。
7. 長期中斷及終止帳戶
– 如服務暫停超過 7 天,將無法恢復帳戶,所有資料將被永久刪除,並須於 7 天內結清所有未付款項。
8. 終止通知
– 終止服務須提前最少一(1)個月以書面通知。
– 所有未付款項須於通知日起 7 天內結清。
– 客戶可在終止前申請資料匯出,惟資料匯出與交付將收取額外服務費用。
9. 程式碼及資料擁有權
– AIHKICT 擁有所有原始程式碼、API、資料庫及系統核心功能的所有權。客戶不得修改、轉售或分發上述資產。
– 客戶在系統中所輸入或儲存的資料,其擁有權歸客戶所有。
10. 責任限制
– AIHKICT 不對任何直接、間接、附帶或衍生性的損失負責,包括但不限於利潤損失、資料損失、業務中斷或聲譽損害等,無論是否因使用或無法使用其服務而導致。
11. 客戶責任
– 如因客戶疏忽、誤用或未依指示操作而導致損失,客戶需承擔責任,並賠償 AIHKICT 因此產生的任何開支或索償。
12. 支援與維護服務
– AIHKICT 將根據報價或另行協議提供支援與維護服務。
– 支援範圍涵蓋開發期間所交付功能之錯誤修正、系統問題處理及相關查詢。
– 系統或服務上線後,持續性支援、維護、小型更新、安全修補、系統優化及其他附加服務將另行收費,除非於原報價中已明確列明包含。
– 超出支援範圍的服務需求將可能產生額外費用。
13. 使用 AIHKICT 應用程式或服務
A. 所有權與版權
– 所有應用程式、設計、版面、文字、圖像及內容均屬 AIHKICT 所有,未經授權不得複製或使用。
B. 資訊準確性
– AIHKICT 致力於提供準確資訊,惟不對其完整性或可靠性作出任何明示或暗示的保證。
C. 附加責任限制
– AIHKICT 不對因依賴其提供內容而導致的任何損失負責。
D. 編輯與刪除權限
– AIHKICT 有權於不作任何事前通知的情況下,自行決定是否編輯、暫停或刪除其平台上的內容。
E. 第三方服務與資源
– AIHKICT 可能會使用第三方服務或整合資源,惟對其可用性、準確性或導致的任何損失概不負責。
F. 第三方損失免責聲明
– AIHKICT 不對經由其平台所連接之第三方服務所造成的任何損失或損害承擔責任。
G. 條款接受
– 使用 AIHKICT 的任何服務或應用程式即表示無條件接受本條款,AIHKICT 有權隨時修訂條款而毋須事先通知。
H. 索取最新版本
– 用戶應聯絡 AIHKICT 以取得本條款與免責聲明的最新版本。
14. 保密條款
– AIHKICT 與客戶均同意對項目或服務期間所交換的非公開資訊保密,包括但不限於技術資料、原始碼、客戶資料、業務流程及定價細節。
– 保密資料僅限於有需要知情的員工、承辦人員或代理人知悉,並須採取合理措施予以保護。
– 此保密義務於合約期內及終止後兩(2)年內繼續有效,除非法律或監管機構要求披露。
15. 管轄法律
– 本條款與細則受香港特別行政區法律所管轄,所有爭議須提交香港法院專屬審理。
